Covid-19: General meetings without physical presence

The current pandemic situation has made it difficult for board members of companies or shareholders to physically attend meetings, as this often requires international travelling. International travelling has become difficult and unpredictable, especially when the person seeking to attend the meeting is restricted from travelling to such country.

In Luxembourg, an initial law of 20 June 2020 implemented, by law, the possibility to hold board meeting and/or general meetings of shareholders via videoconference, but only for a limited period of time (until September 2020). The Law of 23 September 2020 replaced the law of 20 June 2020 and extended this possibility to hold such meetings via videoconference until 31 December 2021 (The same rule was implemented previously by Grand-Ducal Regulation of 20 March 2020, but the effects of this Regulation ended on 24 March 2020 with the end of the state of emergency).

A draft law (n°7916) was filed on 24 November 2021 aiming to extend this possibility until 31 December 2022. It is likely that the draft law will be adopted within the next weeks and before year end.
